Fiji High Court Case Sparks Questions About Pharma Governance

A civil lawsuit involving businessman Aiyaz Mohammed Musa Umarji is currently underway at the High Court in Suva. The plaintiffs, Superdrug Pharmacy Pte Ltd and Nands Pharmacy Pte Ltd, initiated legal action last year against Mr. Umarji, his spouse Zaheera Cassim, and Hyperchem Pharmacy Pte Ltd.

As detailed in their statement of claim, Mr. Umarji served as the CEO of Superdrug Pharmacy, while Ms. Cassim is identified as the sole shareholder and director of Hyperchem, a company specializing in the distribution and sale of pharmaceutical, healthcare, and beauty products through multiple pharmacies. Mr. Umarji’s tenure as CEO began in December 2019 and lasted until March 2021, when he stepped down from the position.

The plaintiffs allege that Mr. Umarji was in charge of the financial management of the company and played a key role in acquiring pharmaceutical products during his time as CEO. They contend that he improperly transferred the administration of Superdrug’s head office to Hyperchem’s location in Lautoka without lawful authority. This move allegedly resulted in Mr. Umarji’s own employees managing their financial accounts and processing orders under his direction.

The lawsuit includes serious allegations against all three defendants, including conspiracy to defraud, breach of contract, and breach of fiduciary duty attributed specifically to Mr. Umarji.

In a recent court session, lawyer Devanesh Sharma, representing both Hyperchem and Ms. Cassim, submitted an application for an injunction preventing the plaintiffs from selling Nands Mall in Nabua, from which the plaintiffs operate. The plaintiffs requested additional time to respond to this interlocutory application by January 7. Justice Waleen George is scheduled to address this matter on February 20, 2026.

This case underscores the complexities involved in corporate governance and fiduciary responsibilities within the pharmaceutical industry, raising significant questions about the management and oversight of business practices. As the legal process unfolds, the outcome may provide greater clarity on these important issues, emphasizing the need for transparency and integrity in corporate operations.
